Terms of Service

Plain English first: By creating a Wonay account, you're agreeing to these terms. They're written to be readable. The formal legal language appears in gray boxes within each section where it matters most.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Wonay mobile application, Chrome extension, and website (collectively, the "Service"), operated by Wonay LLC ("Wonay," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy and Community Policy.

2. Eligibility

You must be at least 13 years old to use Wonay. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent that you meet these age requirements.

Use of Wonay is void where prohibited by applicable law in your jurisdiction.

3. Your Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at dev@wonay.app if you believe your account has been compromised. Wonay is not liable for any loss resulting from unauthorized access to your account.

You may not create accounts using automated means, or create accounts for others without their consent.

4. The Service

Wonay provides a neutral, universal comment and rating layer for URLs on the web. We do not host or control the websites you browse. We are not responsible for the content of any third-party website accessed through the Wonay browser.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

5. Your Content

You retain ownership of the comments, ratings, and other content you post on Wonay ("Your Content"). By posting content, you grant Wonay LLC a non-exclusive, worldwide, royalty-free license to store, display, and distribute Your Content as part of operating the Service.

You represent that Your Content does not infringe any third party's intellectual property rights, and that you have all necessary rights to grant the license above.

Public content you post (comments, ratings) is visible to all users. Once posted, it may remain on the platform after your account is deleted in anonymized form, to preserve conversation continuity for other users.

Formal Clause — Content License By submitting content to the Service, you grant Wonay LLC a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Service and Wonay LLC's business operations. This license survives termination of your account solely with respect to content that has been publicly displayed and is reasonably necessary to maintain continuity of the Service for other users. Wonay LLC's use of your content does not imply endorsement.

6. Prohibited Conduct

You agree not to use Wonay to:

7. Subscriptions and Payments

Wonay offers an optional paid subscription ("Wonay Pro") at $1.00 USD per month. Subscriptions are processed through Apple App Store or Google Play Store. All billing, refunds, and payment disputes are governed by the terms of the applicable app store, not by Wonay LLC.

During the beta period, ad-blocking features are available to all users regardless of subscription status. This may change at launch.

Subscriptions automatically renew unless cancelled through your app store account settings before the renewal date.

8. Intellectual Property

The Wonay name, logo, brand assets, and all software comprising the Service are the property of Wonay LLC or its licensors. Nothing in these Terms grants you any right to use Wonay's brand assets for any purpose without our prior written consent.

9. Copyright / DMCA

If you believe content on Wonay infringes your copyright, you may send a notice to dev@wonay.app with the following: a description of the copyrighted work; the URL of the allegedly infringing content; your contact information; a statement of good faith belief; and your signature (electronic is acceptable). We will respond to valid DMCA notices in accordance with applicable law.

10. Disclaimer of Warranties

Wonay is provided "as is" and "as available." We make no warranties — express or implied — about the reliability, accuracy, or fitness of the Service for any particular purpose.

Formal Clause — Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WONAY LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WONAY LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WONAY LLC OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

11. Limitation of Liability

To the fullest extent permitted by law, Wonay LLC's liability to you for any claims arising out of or related to these Terms or the Service is limited to the greater of (a) the amount you paid to Wonay in the 12 months preceding the claim, or (b) $10 USD.

Formal Clause — Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WONAY LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WONAY LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WONAY LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO WONAY LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR TEN DOLLARS ($10.00 USD).

12. Indemnification

Formal Clause — Indemnification You agree to defend, indemnify, and hold harmless Wonay LLC and its members, managers, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) Your Content; (c) your use of the Service; or (d) your violation of any applicable law or the rights of any third party.

13. Dispute Resolution and Arbitration

We'd rather resolve problems directly. Before initiating any formal dispute, please contact us at dev@wonay.app and give us 30 days to work it out.

Formal Clause — Binding Arbitration and Class Action Waiver PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as amended by this Agreement. The arbitration shall be conducted in Maricopa County, Arizona, or by telephone or video at your election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND WONAY LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. This waiver is an essential part of this agreement; if it is found unenforceable, the entire arbitration provision shall be null and void.

This arbitration agreement does not apply to: (a) claims that may be brought in small claims court; (b) claims for injunctive or equitable relief to prevent actual or threatened infringement of intellectual property rights; or (c) claims where applicable law prohibits arbitration of such claims.

14. Governing Law

Formal Clause — Governing Law and Venue These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 13, you and Wonay LLC consent to exclusive personal jurisdiction and venue in the state or federal courts located in Maricopa County, Arizona.

15. Termination

You may delete your account at any time by emailing dev@wonay.app. In-app account deletion is coming in a future update.

We may suspend or terminate your account if you violate these Terms, without prior notice. Termination does not relieve you of obligations incurred prior to termination. Sections 5, 10, 11, 12, 13, and 14 survive termination.

16. Changes to These Terms

We may update these Terms as the Service evolves. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Your continued use of Wonay after changes take effect constitutes acceptance.

17. Beta Testing

Wonay is currently offered as a beta (pre-release) service. By participating in the beta, you acknowledge and agree that all user-generated data — including your comments, votes, achievements, and account information — will be permanently deleted when the beta period concludes. Do not rely on Wonay as a permanent store for any content during the beta.

Wonay LLC reserves the right to end the beta period at any time, with or without notice, and to reset or delete all beta data in connection with that transition.

All comments, votes, achievements, and account information created during the Wonay beta will be permanently and irreversibly deleted when the beta period ends. Wonay LLC may end the beta at any time, without notice.
